We outline a brief about the service and scope of work involved in the process. If the service provided is complex, we create an attached schedule to explain the service details.
Consideration, which is the value of service the client will pay upon the completion of service. The consideration must be explained in light of the period of service. We state the down payment, the middle payment and the payment upon completion.
Proprietary rights are essential in the service agreement. AIO Services must clarify who will have ownership rights after completing the service and whether any form of rights exists over any of the components during the process.
Another sensitive point that AIO always covers in drafting is the independence of the service provider and his sub-contractors from being employees under the client. That clause will lead us to the importance of the insurance clause, where we confirm the safety of the service provider and his sub-contractors during the process.
Finally, the changes in the delivered work. We organise the situation if the client requests further changes to the delivered work, the permitted number and period to request a change, the necessary time to handle each of these changes, and the extra fee if agreed.
The right to refund is also essential in the service agreement; we must include the period to claim the refund and the method of refund according to the given refund procedure.
